GREATER AUSTIN ILLINI CLUB BYLAWS - Changes SHOWN IN ITALICS

ARTICLE I NAME
The name of this organization shall be the Greater Austin Illini Club (GAIC).

ARTICLE II PURPOSE

To raise funds for scholarships for deserving central Texas students attending the University of Illinois (UI). To support the educational, recreational, and athletic purposes of the UI and the University of Illinois Alumni Association (UIAA). To cultivate friendships and provide social opportunities for local members.

ARTICLE III MEMBERSHIP

Anyone is eligible for GAIC membership.

ARTICLE IV OFFICERS AND BOARD OF DIRECTORS

Section 1. Officers shall consist of President, Vice President, Secretary, and Treasurer. These elected officers comprise the Board of Directors (BOARD). Also on the BOARD are any committee chairperson(s) the President might appoint. The President shall vote only in case of a tie.

Section 2. The BOARD transacts the business of the GAIC. No member shall be compensated for services, but reasonable expenses may be reimbursed.

Section 3. Members of the BOARD must be in good standing with the GAIC.

Section 4. Terms will run from January 1 to December 31.

Section 5. The BOARD will meet at least two times a year to conduct GAIC business. Motions should be discussed and voted on at board meetings but can be handled via email. Any motions voted on outside of board meetings will be documented in the next board meeting minutes by the Secretary.

Section 6. If there is a vacancy on the Board, the Board can elect any member to complete the existing term of the vacant Board member. A Board member can hold more than one Board position. Succession will be President, Vice President, Secretary, Treasurer. If none of them are available, the Board will convene a Board meeting to elect officers.

ARTICLE V DUTIES OF OFFICERS

Section 1. President. The President will preside at all meetings of the GAIC, chair the BOARD, and act as an ex-officio member of any committees.

Section 2. Vice President. In the absence or disability of the President or at the request of the President, the Vice President will perform the duties of the President. If the office of the President becomes vacant, the Vice President shall fill the remainder of the term.

Section 3. Secretary. The Secretary will keep minutes of all GAIC and BOARD meetings. The Secretary will keep custody of all records and will assist the President with the annual report.

Section 4. Treasurer. The Treasurer will supervise all receipts and expenditures of the GAIC, maintain a GAIC bank account, and manage all financial arrangements needed for meetings or events. The Treasurer files reports as required by law and provides reports on the finances of the GAIC for review by the BOARD.

Section 5. Term of Office. The term of office is one year, but officers can be re-elected for subsequent terms.

ARTICLE VI COMMITTEES

The President has the power to appoint such committees as may be necessary to carry out the goals and objectives of the GAIC (e.g., nominating, scholarship, social).

ARTICLE VIl MEETINGS

Section 1. Officer Slate. At a BOARD meeting prior to the annual business membership meeting, the President shall present the proposed slate of officer candidates to the BOARD. The list is then submitted to the membership at the annual business meeting for a vote.

Section 2. Annual Business Meeting. A general meeting of the membership will be held at least once a year, in the Fall, for the purpose of electing officers and any other business to come before the members. If the slate of officers is approved, the slate of officers takes office at the start of the next fiscal year.  The approval is a simple majority of members attending the meeting; in person or remotely.

Section 3. Quorums. A simple majority of members of the BOARD constitutes a quorum. A simple majority of the general membership will also constitute a quorum.

ARTICLE VIII FINANCES

Section 1. Fiscal Year. Membership and fiscal year will coincide beginning on January 1 and ending on December 31.

Section 2. Dissolution. The decision to dissolve the GAIC must be approved by a two-thirds majority of the BOARD members. Should that occur, all assets will be sent to the UIAA, the UI Foundation, or used for scholarships to UI students.

ARTICLE IX RULES OF ORDER

Robert's Rules of Order, latest, revised edition, shall determine procedure.

ARTICLE X BYLAW CHANGES

Bylaws of the GAIC may be amended by a vote of two-thirds of the active members of the BOARD.
